Residential Pool / Spa Service Terms & Conditions

Version 1.0 | Effective July 18, 2026

Northstar Pool & Spa, LLC  |  (561) 336-1354  |  northstarpool.com

IMPORTANT: These Terms and Conditions are incorporated into the signed Northstar Residential Pool / Spa Service Authorization. The Service Authorization and these Terms and Conditions together form the complete Agreement. Customer-specific information, the selected plan, pricing, promotions, and special written terms in the Service Authorization control if they directly conflict with these general Terms and Conditions.

Important Terms at a Glance

1. DEFINITIONS

Agreement: The signed Service Authorization and these Terms and Conditions, including any customer-specific written quote, approved add-on, or signed addendum.

Customer: The person or entity identified in the Service Authorization.

Service Address: The residential property where Northstar provides service.

Services: The recurring maintenance services included in the selected plan.

Monthly Rate: The recurring monthly price stated in the Service Authorization.

Routine Chemistry: Ordinary chemical testing, dosing, and reasonable adjustments used to establish and maintain normal operating water chemistry.

Corrective Work: Recovery, specialty treatment, unusual chemical demand, deep cleaning, storm cleanup, or other work beyond normal weekly maintenance.

Written Approval: Approval through a signed quote, electronic acceptance, email, text message, customer portal, or other written service request.

Add-On Services: Separately approved maintenance, cleaning, chemistry-based treatment, consumables, or other work within Northstar's lawful scope.

2. AGREEMENT STRUCTURE; SELECTED PLAN

The Service Authorization identifies the selected Basic, Premium, Premium+, or Custom plan and the Monthly Rate. The service matrix in the Service Authorization controls the plan-level inclusions. Northstar may use different tools, products, methods, or service sequences when reasonably necessary to deliver the included result, provided the selected plan is not materially reduced without notice.

Weekly service means one scheduled service visit during each regular service week, subject to weather, holidays, safety, access, and the annualized service rules below. The Monthly Rate reserves a recurring route position and is not calculated as a separate charge for each individual visit.

3. MAINTENANCE-ONLY SCOPE; LICENSED CONTRACTOR WORK

This Agreement covers routine residential pool/spa cleaning, water testing, chemical dosing, filter maintenance, and related maintenance-only services that Northstar may lawfully perform. It does not include repairs, installations, equipment replacement, remodeling, resurfacing, acid washing, substantial or complete draining, leak detection, electrical work, plumbing work, structural work, or other work requiring a Florida contractor license.

Any licensed contractor work requires a separate written agreement identifying the licensed contracting party and the applicable scope. Nothing in this Agreement requires Northstar to perform work outside its lawful scope, outside the selected plan, or under unsafe conditions. Northstar may decline, stop, or refer any work that it reasonably believes requires a license, permit, specialized trade, or additional insurance.

4. SERVICE SCHEDULING AND DELIVERY

Northstar will assign a regular service day but does not guarantee an exact arrival time. Customer shall provide access between 6:00 a.m. and 6:00 p.m. on the scheduled day. Route order, technician assignment, and service day may change due to route density, staffing, weather, holidays, emergencies, community access, or operating needs.

Customer does not need to be present. Northstar may provide an electronic service report containing service notes, photographs, readings, treatments, and observed equipment conditions. A visual equipment review is not a diagnostic inspection, warranty, code inspection, leak test, or guarantee that equipment is free of defects.

5. BILLING, PAYMENT, FEES, AND TAXES

Northstar issues electronic invoices on the first (1st) day of each month for that month’s recurring service. Payment is due on or before the twenty-second (22nd) day of the same month unless the Service Authorization or a written quote states otherwise.

Initial Partial Month: If Services begin after the first day of a calendar month, Northstar will issue an initial prorated invoice covering the Effective Date through the final day of that month. The prorated amount will be calculated on a calendar-day basis unless otherwise stated in writing. The initial invoice is due upon receipt. Regular monthly billing begins on the first day of the following month. Unless otherwise stated in writing, a promotion expressed as an annual or fixed-dollar benefit begins with the first full billing month.

Customer shall maintain a valid credit card, bank account, or other approved payment method on file. Customer authorizes Northstar to charge the payment method on file on or after the applicable due date for the initial prorated invoice, Monthly Rate, applicable taxes, and fixed fees expressly stated in the Agreement. Add-On Services, Corrective Work, specialty products, and other variable charges require prior Written Approval unless already approved through a quote or service request.

A past-due invoice may be assessed a one-time, non-compounding late administrative fee of $15.00. A dishonored, rejected, or failed payment may be assessed a $25.00 returned-payment fee, or the maximum permitted by law if lower. Northstar may suspend service after written notice and may require payment of all outstanding amounts, a $50.00 restart fee, and any approved recovery work needed before service resumes.

A failed payment, billing dispute, or chargeback does not by itself extinguish any valid underlying payment obligation. Customer is encouraged to contact Northstar promptly regarding billing concerns so the parties may attempt to resolve them. All rates are exclusive of taxes unless expressly stated otherwise, and Customer is responsible for all legally applicable taxes.

6. RATE CHANGES AND PROMOTIONAL PRICING

Northstar may change the Monthly Rate, plan terms, add-on pricing, or fees upon at least thirty (30) days written notice. A change generally takes effect at the start of the next billing cycle after the notice period. Customer may cancel before the new rate takes effect; continued service after the effective date constitutes acceptance of the new rate.

Promotional pricing applies only when identified in the Service Authorization and only while all stated eligibility rules remain satisfied. Promotions do not stack unless Northstar expressly agrees in writing.

Gold pricing: Gold pricing is limited to qualifying owner-occupied properties, the first 100 approved Gold customers, and approved dense service communities or other locations accepted by Northstar. It is not available for rentals, short-term rentals, Airbnb-type use, or properties not occupied by the contracting owner. Gold pricing is non-transferable and may be forfeited if service is interrupted, canceled, materially delinquent, transferred to another owner or property, converted to rental use, or no longer satisfies the qualifying service profile. Northstar may require a plan or rate change if the pool no longer qualifies.

America 250: America 250 promotional pricing is available only for qualifying owner-occupied Premium, Premium+, or approved custom recurring monthly service. It does not apply to Basic and is available only within a service area approved by Northstar and identified in the Service Authorization or applicable written promotional offer. The discount applies only to recurring monthly service for the promotional period stated in the Service Authorization, does not apply to repairs, storm cleanup, specialty work, Add-On Services, products, taxes, or fees, and does not stack with Gold or another promotion. The remaining promotional benefit ends if service is canceled or interrupted. At the end of the promotional period, service automatically continues at the then-current non-promotional rate unless Customer cancels in accordance with the Agreement.

7. ROUTINE CHEMISTRY AND CORRECTIVE WORK

The Monthly Rate includes Routine Chemistry and reasonable ordinary onboarding adjustments needed to establish and maintain normal operating chemistry. Northstar selects products, target ranges, application methods, and treatment timing based on the pool, surface, equipment, weather, bather load, source water, and professional judgment. Exact chemical readings may vary between visits and are not guaranteed at every moment.

Northstar will not ordinarily charge a new customer merely because routine balancing is needed. Separate charges may apply, after Written Approval, when conditions require substantial recovery, specialty treatment, unusual quantities of chemicals, or work beyond normal recurring maintenance. Examples include:

8. CUSTOMER-ADDED OR CUSTOMER-PROVIDED PRODUCTS

Customer shall not add chemicals, minerals, salt, chlorine, acid, shock, algaecides, phosphate removers, stain treatments, clarifiers, enzymes, borates, or other water-treatment products without Northstar's prior consent. This protects against conflicting treatments, inaccurate testing, equipment damage, staining, scaling, and excessive chemical demand.

Customer may take immediate chemical action only when reasonably necessary to prevent imminent harm to health, safety, or equipment. Customer must notify Northstar by text or email as soon as practical, and no later than forty-eight (48) hours after the addition, identifying what was added and when if known.

Northstar is not responsible for conditions caused by products added by Customer, guests, retailers, another service company, or any third party. Following any unauthorized or emergency addition, Northstar may require additional testing, Corrective Work, temporary service limitations, or suspension. Any resulting work may be separately charged after approval.

Northstar may agree in writing to use Customer-provided products, but does not warrant their purity, labeling, concentration, suitability, shelf life, or effectiveness. Customer remains responsible for safe storage and for conditions caused by Customer-provided products.

9. CUSTOMER RESPONSIBILITIES; ACCESS AND PETS

If access is blocked, denied, unavailable, or unsafe, Northstar may document the condition, perform only the work reasonably possible, skip the visit, and assess the applicable $35.00 Trip Charge. Repeated access failures may require prepayment, a plan or rate change, suspension, or termination.

Northstar will make reasonable efforts to leave gates and access points in the condition in which they were found and may photograph the closed gate at departure. Customer remains responsible for securing pets before service and for inspecting gates or access points after service when pet containment is critical.

Northstar may add water only with Customer approval or under a standing written instruction. Customer is responsible for water and utility charges, leaks, faulty autofill equipment, and conditions arising from the property's water supply.

10. BASIC PLAN ELIGIBILITY

Basic is available only for qualifying pools, generally approximately 10,000 gallons or less, with light debris, a functioning automatic cleaner or customer-managed cleaning, and an approved hyper-local service location. Saltwater pools are the standard Basic profile; liquid-chlorine pools require Northstar approval or custom pricing.

Basic customers are responsible for routine surface debris, skimmer and pump baskets, brushing, and pool-floor cleaning unless the Service Authorization states otherwise. Northstar may require an upgrade or revised rate if actual pool size, debris, bather load, equipment, chemistry demand, access, or service time materially exceeds the qualifying profile.

11. FILTER MAINTENANCE

Routine filter-maintenance labor is included at the frequency stated in the Service Authorization: Basic generally receives quarterly routine service; Premium receives routine service when indicated by pressure, flow, clarity, or operating condition; and Premium+ receives monthly routine filter service, plus additional service when reasonably indicated.

Routine filter service may consist of pressure and flow assessment, backwashing and rinsing, cartridge removal and cleaning, or other ordinary maintenance appropriate to the filter type, condition, equipment access, and Northstar's lawful scope. Northstar may recommend additional filter service after algae treatment, heavy storms, high debris, reduced return flow, increased chemical demand, or a substantial pressure rise above clean baseline.

The included labor does not include replacement cartridges, grids, manifolds, laterals, valves, O-rings, filter tanks, sand, glass, DE powder, other filter media, damaged parts, repairs, plumbing, electrical work, equipment replacement, deep teardown, or licensed contractor work. Such materials or work require separate approval and may require a licensed contractor.

Premium+ filter-enhancement media means a small-dose adjunct, such as filter fiber, applied at Northstar's discretion to support filtration. It does not mean replacement cartridges, sand, glass, DE powder, grids, or other permanent filter media.

Customer is responsible for providing safe access and a lawful discharge or separation area where backwashing or filter cleaning requires discharge. Northstar may defer or limit service if discharge cannot be performed safely or lawfully. Equipment or circulation problems caused or worsened by failure to complete recommended filter service are outside Northstar's responsibility.

12. SALT CELLS, CLEANERS, ROBOTS, AND CONSUMABLES

Routine salt-cell cleaning is included as stated in the Service Authorization only when the cell is safely accessible, serviceable, and the work can be performed within Northstar's lawful maintenance scope. It does not include diagnosis, repair, replacement, wiring, plumbing modification, equipment modification, or work requiring a licensed contractor. Northstar may defer or refer the work if removal, disassembly, equipment condition, or access creates a safety or licensing concern.

Northstar will empty a Customer-owned cleaner or robot when it is accessible, safe, and reasonably practical. Northstar does not guarantee cleaner performance and is not responsible for repair, programming, charging, cable management, storage, replacement, or manufacturer defects unless separately agreed in writing.

With prior approval, Northstar may provide non-permanent maintenance consumables such as baskets, cleaner bags, lid O-rings, or similar user-replaceable items. Consumables are not included in the Monthly Rate unless expressly stated and may be billed separately.

13. WEATHER, HOLIDAYS, AND MISSED VISITS

Northstar may delay, shorten, reduce to a chemistry-focused visit, reschedule, or skip service because of lightning, severe weather, tropical systems, flooding, unsafe heat or wind, unsafe access, emergency closures, route disruptions, holidays, or other conditions outside Northstar's reasonable control. Personnel are not required to work outdoors during unsafe conditions.

Monthly pricing is annualized across the calendar year and includes months with four or five regular service days. Fifth-week visits offset observed holidays, weather limitations, and reduced-service weeks. No credit is issued for weather-shortened visits, observed holidays, unsafe conditions, or blocked access. If Northstar misses a scheduled visit for a reason within Northstar's control and does not reasonably reschedule it, Northstar will provide an appropriate service credit.

14. HEAVY DEBRIS, STORMS, AND UNUSUAL CONTAMINATION

Routine service does not include conditions that materially exceed the selected plan because of tropical weather, heavy leaf drop, landscaping work, construction debris, screen-enclosure debris, fertilizer runoff, animal waste, fecal matter, vomit, blood, dead animals, hazardous material, or other unusual contamination.

Northstar may photograph the condition and either perform only ordinary plan-level service, request approval for separately priced cleanup or treatment, or reschedule after the unsafe condition is corrected. Customer is responsible for removing debris from roofs, gutters, landscaping, patios, decks, screen enclosures, and surrounding areas. Specialty chemicals and additional labor are separately charged after approval.

15. ADD-ON SERVICES AND CUSTOMER APPROVAL

All Add-On Services and Corrective Work require Written Approval before performance. Approved pricing may be stated as a fixed price, hourly rate, estimated range, product charge, or pass-through cost plus an identified service charge. Taxes may apply.

Common separately approved services may include green-to-clean recovery, phosphate removal, stain or metal treatment, borate treatment, one-time deep cleaning, storm cleanup, specialty chemistry, filter media or consumables, and other maintenance work within Northstar's lawful scope. Approval of one occurrence does not create continuing authorization unless expressly stated.

16. PHOTOGRAPHY, SERVICE RECORDS, AND PRIVACY

Customer authorizes Northstar to create and retain date-stamped photographs, videos, readings, service notes, access records, gate-condition photographs, and equipment observations for customer updates, service records, billing support, insurance, quality control, and dispute protection.

Northstar may use non-identifying pool, water, equipment, or work photographs for marketing, provided the content does not intentionally identify residents, minors, addresses, license plates, personal documents, private interior spaces, or sensitive personal information. Customer may opt out of marketing use at any time by written notice. An opt-out does not restrict operational documentation or record retention.

Northstar may use payment processors, scheduling applications, customer portals, service-report platforms, and other third-party systems. Those providers may process information under their own privacy and security practices. Northstar will use Customer information for service, communication, billing, documentation, administration, and lawful business purposes and will not sell Customer's personal information.

17. THIRD-PARTY CONTRACTORS AND REFERRALS

Northstar may notify Customer of suspected defects, repair needs, leaks, or work outside this Agreement and may provide contact information for licensed contractors or other service providers. Unless a separate written agreement expressly states otherwise, Customer contracts directly with the third party and is responsible for verifying licensing, insurance, scope, price, scheduling, and warranty terms.

Northstar does not control, supervise, guarantee, or warrant an independent third party's work, pricing, acts, omissions, delays, licensing, insurance, recommendations, or results merely because Northstar provided a referral. Any repair contract, payment, warranty, or dispute remains between Customer and the third party.

18. PRE-EXISTING CONDITIONS; EQUIPMENT AND SURFACE DISCLAIMER

Northstar is not responsible for pre-existing or naturally developing conditions, including prior staining, scale, plaster deterioration, surface defects, leaks, hidden damage, tile or coping defects, aging equipment, corrosion, failing seals, plumbing issues, electrical issues, automation issues, heater issues, salt-system issues, filter defects, manufacturer defects, or ordinary wear, except to the extent directly caused by Northstar's gross negligence, willful misconduct, or liability that cannot legally be limited.

Routine service may reveal defects that were not visible at onboarding. Customer represents that known unsafe or defective conditions have been disclosed and agrees to maintain equipment in safe and operable condition.

19. SERVICE LIMITATIONS; NO ALGAE OR EQUIPMENT GUARANTEE

Northstar will perform the selected Services using reasonable care and professional judgment. Except for an express written guarantee signed by Northstar, no guarantee is made that the pool will remain algae-free, stain-free, scale-free, perfectly clear, continuously within a particular chemistry range, or free from equipment failure between visits.

Service results depend on access, water level, circulation, filtration, equipment operation, debris, weather, source water, bather load, landscaping, phosphates, stabilizer level, Customer cooperation, and other conditions outside Northstar's control. Northstar may require Corrective Work, a plan or rate change, equipment repair by a licensed contractor, or suspension when those conditions prevent normal maintenance results.

20. TERM, CANCELLATION, AND SERVICE PAUSES

The Agreement begins on the Effective Date and continues month-to-month. Either party may cancel without cause by providing at least thirty (30) days written notice. Customer may cancel by email, text message, customer portal, or another written method reasonably equivalent to the method used to accept the Agreement.

Service and recurring charges continue through the effective termination date. Customer remains responsible for service already provided, approved add-ons, Corrective Work, fees, unbilled amounts, and other outstanding charges. Any final credit remaining after account reconciliation will be refunded or applied as required.

Service does not automatically pause while Customer is away. Pool water still requires circulation, sanitation, and maintenance. A pause requires Northstar's written approval, may require recovery work before restart, may cause loss of promotional pricing, and does not require Northstar to hold the route position.

21. SUSPENSION OR TERMINATION FOR CAUSE

Northstar may suspend, limit, or terminate service for nonpayment, repeated blocked access, unsafe conditions, aggressive pets, unauthorized chemical additions, equipment tampering, abusive or threatening conduct, refusal to approve reasonably necessary corrective action, conditions outside Northstar's lawful scope, or any material breach of the Agreement. Northstar may act immediately when safety, property, legal compliance, or personnel protection requires it and may otherwise provide written notice and a reasonable opportunity to cure.

22. LIMITATION OF LIABILITY; INDEMNITY

TO THE EXTENT PERMITTED BY FLORIDA LAW, NORTHSTAR'S AGGREGATE LIABILITY FOR PROPERTY DAMAGE OR LOSS ARISING FROM ORDINARY NEGLIGENCE UNDER THE AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION DOES NOT APPLY TO GROSS NEGLIGENCE, WILLFUL MISCONDUCT, PERSONAL INJURY CAUSED BY NORTHSTAR, OR LIABILITY THAT CANNOT LEGALLY BE LIMITED.

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF USE, LOSS OF ENJOYMENT, LOSS OF RENTAL INCOME, OR THIRD-PARTY CHARGES, EXCEPT WHERE SUCH A LIMITATION IS PROHIBITED BY LAW.

Customer shall indemnify and hold Northstar harmless from third-party claims, losses, and reasonable expenses, but only to the extent caused by Customer's negligence, willful misconduct, material breach of the Agreement, aggressive pets, unsafe property conditions under Customer's control, unauthorized products, Customer-provided products, or third-party work selected or directed by Customer. Northstar shall indemnify and hold Customer harmless from third-party claims to the extent finally determined to have been caused by Northstar's gross negligence, willful misconduct, or non-waivable liability. Nothing in the Agreement limits liability in a manner prohibited by Florida law.

23. GOVERNING LAW, VENUE, DISPUTES, AND ATTORNEY'S FEES

Florida law governs the Agreement. Exclusive venue for any action arising out of the Agreement, the Services, or amounts owed is Palm Beach County, Florida, except where applicable law requires otherwise.

For disputes within Florida Small Claims Court jurisdiction, either party may file in the appropriate Palm Beach County court. For other disputes, the parties shall first make a good-faith effort to resolve the matter informally for up to thirty (30) days after written notice. This informal period does not prevent a party from pursuing small claims, collection remedies, emergency relief, or other relief that should not reasonably be delayed.

In any action, collection matter, appeal, or legal proceeding arising from the Agreement, the prevailing party is entitled to recover reasonable attorney's fees and costs to the extent permitted by Florida law.

24. FORCE MAJEURE

Neither party is liable for delay or failure caused by hurricanes, tropical systems, lightning, flooding, fire, pandemic, government order, labor or supply shortage, fuel shortage, utility interruption, unsafe conditions, emergency closure, equipment failure outside the party's reasonable control, or another event beyond reasonable control. Obligations resume when performance becomes safe and practical, but Customer remains responsible for amounts already earned or incurred.

25. ASSIGNMENT

Customer may not assign the Agreement without Northstar's written consent. Northstar may assign the Agreement to an affiliate, successor, purchaser of the business or route, or another qualified service provider after written notice to Customer. Customer retains any cancellation right available under the Agreement.

26. NOTICES; ELECTRONIC RECORDS AND SIGNATURES

Routine communications, invoices, service reports, photographs, access notices, rate notices, scheduling messages, and account notices may be sent by email, text message, customer portal, service software, or another electronic method using the contact information in the Service Authorization. Customer is responsible for keeping that information current.

Formal notices of legal claims or proceedings should be sent by email and by certified mail, courier, or another legally recognized delivery method. A routine electronic notice is deemed received when sent unless Northstar receives an automatic delivery failure notice.

The parties agree to conduct transactions electronically. Electronic records and signatures, including signatures through an e-signature platform, customer portal, email, or PDF, have the same effect as original written records and signatures. Northstar will make the signed Agreement available in a form Customer can retain, print, or download.

27. CHANGES TO THESE TERMS; NON-WAIVABLE RIGHTS

The Terms and Conditions version identified in the Service Authorization controls when Customer signs. Rate, fee, and service-plan changes are governed by Section 6. Northstar may propose nonmaterial administrative or operational updates to these Terms upon at least thirty (30) days written notice. Customer may cancel before such an update takes effect, and continued service after the effective date constitutes acceptance. A material change to limitation of liability, indemnity, dispute resolution, venue, or attorney's-fee provisions requires Customer's affirmative written or electronic acceptance before it becomes binding.

Nothing in the Agreement waives a consumer right that cannot legally be waived. If a transaction qualifies for a statutory cancellation right, including an applicable Florida home-solicitation cancellation right, any separate statutory notice provided by Northstar forms part of the Agreement and controls to the extent of a conflict.

28. SURVIVAL; NO WAIVER; ENTIRE AGREEMENT; SEVERABILITY

Payment obligations, documentation rights, privacy provisions, service exclusions, limitation of liability, indemnity, dispute provisions, attorney's fees, governing law, and any provision that by its nature should survive will remain effective after cancellation or termination.

A failure or delay in enforcing a right is not a waiver. Any waiver must be in writing and applies only to the specific instance stated. The Agreement is the entire agreement concerning the Services and supersedes prior proposals, advertisements, discussions, and understandings. If any provision is invalid or unenforceable, the remaining provisions remain in effect and the invalid provision will be enforced to the maximum lawful extent.
